Welcome to Indoteh. These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Indoteh Technologies Ltd. (“Indoteh,” “we,” “us,” or “our”), a company registered under the laws of the United Kingdom, governing your access to and use of the Indoteh platform, website located at indoteh.com, and all related services, applications, tools, and content (collectively, the “Services”).

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use our Services. If you are using the Services on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

We reserve the right to modify these Terms at any time. Your continued use of the Services after any modifications indicates your acceptance of the updated Terms. We encourage you to review these Terms periodically to remain informed of any changes.

Indoteh provides an intelligent market analytics platform that leverages advanced neural architectures and real-time analytical frameworks to transform raw market data into actionable intelligence. Our Services include, but are not limited to:

• Real-time market data aggregation, processing, and visualisation across multiple asset classes and sectors
• Predictive analytics and forecasting models powered by proprietary machine learning algorithms
• Custom analytical dashboards, reporting tools, and alert systems for enterprise and institutional clients
• API access for integration of Indoteh analytics into third-party systems and workflows
• Research reports, market insights, and analytical commentary generated through our platform

The Services are intended for informational and analytical purposes only and do not constitute financial advice, investment recommendations, or solicitations to buy or sell any securities or financial instruments. All analytics, predictions, and insights provided through the Services are based on computational models and historical data, and past performance is not indicative of future results.

To access certain features of the Services, you may be required to create an account. When registering, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding the credentials used to access your account and for all activities that occur under your account.

You agree to notify us immediately of any unauthorised access to or use of your account. Indoteh shall not be liable for any loss or damage arising from your failure to comply with the above requirements. We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice.

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio clips, data compilations, software, analytical models, algorithms, and the overall design and arrangement thereof, are the exclusive property of Indoteh Technologies Ltd. or its licensors and are protected by United Kingdom and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The Indoteh name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Indoteh Technologies Ltd. You must not use such marks without the prior written permission of Indoteh. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

Subject to your compliance with these Terms, Indoteh grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services for your internal business or personal purposes. This licence does not include any right to resell or commercially exploit the Services or any content therein, collect or use any data listings or descriptions, make any derivative use of the Services or their content, or download, copy, or otherwise account for information for the benefit of any third party.

You agree not to use the Services to:

• Violate any applicable local, national, or international law or regulation, including but not limited to securities laws and data protection legislation
• Infringe upon or violate the intellectual property rights or any other rights of Indoteh or any third party
• Transmit, distribute, or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware, or any other harmful programmes or code
• Attempt to gain unauthorised access to, interfere with, damage, or disrupt any part of the Services, servers, networks, or databases connected to the Services
• Use any automated system, including robots, spiders, scrapers, or offline readers to access the Services in a manner that sends more request messages to the servers than a human can reasonably produce using a conventional web browser
• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software or analytical models used in the Services
• Redistribute, sublicence, sell, or make available any data, analytics, or outputs from the Services to third parties without prior written consent from Indoteh

Indoteh processes market data from a variety of sources, including publicly available market feeds, licensed third-party data providers, and user-submitted datasets. By using the Services, you acknowledge and agree that:

• Analytical outputs, predictions, and insights generated by the platform are the result of algorithmic processing and are not guaranteed to be accurate, complete, or current at all times
• Market data may be subject to delays, interruptions, or inaccuracies due to factors beyond the control of Indoteh, including but not limited to exchange outages, data feed disruptions, and network latency
• Any data you upload to or input into the Services remains your property; however, you grant Indoteh a non-exclusive, worldwide, royalty-free licence to use, process, and analyse such data solely for the purpose of providing and improving the Services
• Indoteh may use aggregated, anonymised, and de-identified data derived from your use of the Services for research, product development, and benchmarking purposes

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, INDOTEH TECHNOLOGIES LTD. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Indoteh does not warrant that the Services will be uninterrupted, timely, secure, or error-free, that the results obtained from the use of the Services will be accurate or reliable, or that any errors in the Services will be corrected. No advice or information, whether oral or written, obtained from Indoteh or through the Services shall create any warranty not expressly stated in these Terms.

Indoteh expressly disclaims any and all responsibility and liability for the accuracy, completeness, legality, reliability, or availability of any market data, analytical outputs, predictions, or other content accessed through the Services. You acknowledge that any reliance on such material is at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INDOTEH TECHNOLOGIES LTD., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to, use of, or inability to access or use the Services
• Any conduct or content of any third party on or related to the Services
• Any content obtained from the Services, including but not limited to analytical outputs, predictions, and market data
• Unauthorised access, use, or alteration of your transmissions or content
• Investment, trading, or business decisions made based on information or analytics provided through the Services

In no event shall Indoteh’s total aggregate liability to you for all claims arising out of or relating to the use of or inability to use the Services exceed the amount you have paid to Indoteh for the Services in the twelve (12) months immediately preceding the event giving rise to the liability, or one hundred British pounds (£100), whichever is greater.

You agree to defend, indemnify, and hold harmless Indoteh Technologies Ltd. and its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgements, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Services, including but not limited to any data or content transmitted or received by you; (c) your violation of any third-party rights, including any intellectual property or privacy rights; or (d) any claim that your use of the Services caused damage to a third party.

This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Services. Indoteh AI reserves the right, at your expense, to assume the exclusive defence and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defence of such claims.

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will cease immediately.

You may terminate your account at any time by contacting us at support@indoteh.com or through the account settings within the platform. Upon termination of your account, we will delete or anonymise your personal data in accordance with our Privacy Policy, except where we are required or permitted to retain such data by applicable law.

All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes arising out of or relating to these Terms or the Services.

Notwithstanding the foregoing, Indoteh shall retain the right to bring proceedings in the courts of any jurisdiction where we reasonably believe that infringement of our intellectual property rights or breach of confidentiality obligations is occurring or is threatened. Nothing in these Terms shall prevent Indoteh from seeking injunctive or other equitable relief from the courts for matters relating to data security, intellectual property, or unauthorised access.

Indoteh reserves the right, at our sole discretion, to modify, amend, or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days’ notice prior to any new terms taking effect, by posting the updated Terms on this page and updating the “Last updated” date, and where appropriate, notifying you by email or through the platform.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Services after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, in whole or in part, please discontinue use of the Services and terminate your account.

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent permitted by applicable law, and the remaining provisions shall continue in full force and effect. The failure of Indoteh to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
